General Terms and Conditions of Use
Well Control Courses

1. Legally Binding Agreement

These Special Terms and Conditions of Use ("Terms and Conditions") set out the legally binding agreement between Equilibria and each person who participates in a Well Control course offered by Equilibria (a "Well Control Course"), successful completion of which will result in the issuance of a certificate of completion by the International Association of Drilling Contractors ("IADC") and/ /or International Well Control Forum ("IWCF"), subject to these Terms and Conditions (a "Certificate").

2. Equilibria General Terms and Conditions of Use

These Terms and Conditions incorporate Equilibria's General Terms and Conditions of Use, available at www.equilibria.com/Terms.aspx (the "General Terms and Conditions"), which apply and form a part of these Terms and Conditions to the same extent as if set out herein, but if there is any inconsistency between the General Terms and Conditions and these Terms and Conditions, these Terms and Conditions will take precedence. Any capitalized term used and not defined in these Terms and Conditions have the meanings given to them in the General Terms and Conditions.

3. Payment Terms and Booking Confirmation

Fees for a Well Control Course must be paid in full before placement can be confirmed. Confirmed placement is required before a participant may begin attending a Well Control Course.

4. Cancellation, Refunds and Rescheduling

(a) Refund Schedule

If a participant cancels a confirmed booking in a Well Control Course, Equilibria will refund the applicable fee as follows:

(i) If Equilibria receives a cancellation request no later than twelve (12) days before commencement of the Well Control Course, it will refund one hundred percent (100%) of the fee;

(ii) If Equilibria receives a cancellation request later than twelve (12) days before commencement of the Well Control Course, it will refund one hundred percent (100%) of the fee minus four hundred and fifty United States Dollars (US$450); and

(iii) If Equilibria receives a cancellation request on the day of commencement of the Well Control Course or later, it will not refund any portion of the fee.

(b) Rescheduling

If a participant wishes to reschedule a Well Control Course, Equilibria may in its absolute discretion allow the participant to attend another Well Control Course without paying another fee, subject to availability and on a case-by-case basis.

5. Course Attendance

Only participants who have attended all sessions in a Well Control Course may take the Certification Exam for such Well Control Course. Equilibria may at its absolute discretion allow a participant who has missed one (but not a subsequent) session to watch a similar recorded session, which will be considered attendance at the missed session.

6. Examination and Issuance of Certificate

(a) Examination

At the end of every Well Control Course there will be an Examination, consisting of written and practical simulation components, which participants will pass if they achieve a test score of at least seventy percent (70%), as determined in the course instructor’s absolute discretion.

(a) Certificate

Subject to Section 3 above, participants who pass the examination will receive a Certificate from IADC, IWCF or both, as applicable, acknowledging successful completion of the Well Control Course.

(a) Re-Testing

A participant who does not pass a Certification Test may retake it in accordance with the following terms:

IADC Certification Test. A participant whose score is at least fifty percent (50%) may retake the test on the same day or another day within forty five (45) days after the initial test, as determined by the instructor.

IWCF Certification Test. A participant whose score is at least sixty six percent (66%) may retake the test on the same day, subject to availability of examination papers. A participant whose score is sixty five percent (65%) or lower may retake the test after retraining as determined by the instructor.

Except for a test retaken on the same day as the original test, a fee of US$450 will be payable for the retaking of a test. Except as provided above, no further retesting will be permitted unless the participant books and participates in another Well Control Course.

7. Entire Agreement

Except as specifically provided herein, these Terms and Conditions constitute the entire agreement between you and Equilibria and supersede any and all previous agreements and understandings with respect to the subject matter hereof.
